Incorporation of Private Limited Company and Corporate Secretaryship

1.   Incorporation of Private Limited Company or conversion from Sole Proprietorship/Partnership to Private Limited Company which includes all necessary information and steps to register.

2.      Preparation of standard Memorandum and Articles of Association.

3.      Preparation of directors’ resolutions for opening of bank accounts.

4.      Preparation of other necessary initial directors’ resolutions.

5.      Any other necessary work required to getthe new registered company up and running.

All the above work 1 to 5 at an incredible S$250.00 net.
A)    Fulfilling as the new company’s registered corporate secretary.

B)    Conduct all necessary work as corporate secretary e.g., drafting of directors’ resolutions, board of directors’ annual and extraordinary general minutes of meetings etc.

All the above work A) and B) provided free of charge for the first year if we incorporate a new company or convert a sole proprietorship/partnership to a private limited company provided work as corporate secretary is basic and does not include other extensive requirements other than basic work. From the second year onwards, fees for corporate secretarialship are chargeable at S$400.00 net for basic corporate work.
